Terms of Service: North Star Digital

1. Acceptance of Terms
By accessing northstardigitalads.com or engaging North Star Digital (a legally registered entity in Ahmedabad, India) for white-label PPC services, you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a digital agency, you represent that you have the legal authority to bind that entity to these terms.
2. Description of White-Label Services
North Star Digital provides specialized paid media fulfillment, including Google Ads and Meta Ads management, as a backend “invisible” partner.
- Invisible Fulfillment: We act as your internal team and will never represent ourselves to your end-clients.
- Agency Branding: All reports, dashboards, and technical audits will be delivered under your agency’s brand.
- Platform Management: Services include account setup (no fee), daily optimization, keyword research, ad copy creation, and weekly performance reporting.
3. Fees, Billing, and Payments
Our pricing model is designed for agency predictability:
- Flat Fee Tier: For accounts with a monthly ad spend of up to $5,000, the fee is a flat $500 per month per account.
- Percentage Tier: For accounts with a monthly ad spend exceeding $5,000, the fee is 10% of the total monthly ad spend.
- Billing Cycle: Services are billed monthly in advance. Management will not begin until the first payment is cleared.
- No Setup Fees: We do not charge upfront setup or onboarding fees for new account transfers.
4. Cancellation and Refund Policy
We believe in results-based partnerships, not long-term lock-ins.
- Month-to-Month: All services are provided on a month-to-month basis with no long-term contracts.
- Termination Notice: You may cancel any account by providing a 7-day written notice before your next billing cycle.
- Refunds: Due to the nature of digital marketing labor, we do not offer refunds once a management month has begun.
5. Non-Solicitation and “Hero” Guarantee
The protection of your client relationships is our highest priority.
- Non-Solicitation: North Star Digital explicitly agrees not to solicit, pitch, or accept business from any end-client introduced to us through your agency during the term of this agreement and for 24 months following termination.
- Invisibility Guarantee: We will never contact your clients directly via email, phone, or any other channel.
6. Ad Account Ownership and Access
- Ownership: You and your end-clients maintain 100% ownership of all ad accounts, data, and creative assets at all times.
- Access Requirements: To perform our duties, you must grant us “Partner” level access to the Google Ads and Meta Business Manager accounts. We will never ask for your personal login credentials.
7. Limitation of Liability and Performance Disclaimer
- Performance: While we use senior-level expertise to maximize ROI, North Star Digital does not guarantee specific leads, sales, or ROAS results, as these are subject to market conditions and third-party platform algorithms.
- Ad Spend: The agency or the end-client is solely responsible for paying ad spend directly to Google/Meta. North Star Digital is not liable for account suspensions or payment failures on the client’s side.
- Liability Cap: To the maximum extent permitted by law, our liability for any claim is limited to the amount paid by you for our services in the three months preceding the claim.
8. Governing Law and Jurisdiction
These Terms of Service shall be governed by and construed in accordance with the laws of Gujarat, India. Any disputes arising under this agreement shall be subject to the exclusive jurisdiction of the courts located in Ahmedabad.
